1. Introduction

This website and the EdCo school management platform are owned and operated by EdCo Tech (SMC-Pvt) Ltd. (hereinafter and throughout this website referred to as "EdCo", "we", "us" and "our"). Our registered office is at 1270 Street 43, Ali Block, Bahria Town Phase 8, Rawalpindi. Our principal place of business is located at 1270 Street 43, Ali Block, Bahria Town Phase 8, Rawalpindi.

We offer this website, including all information, tools, products and services available from this website to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

2. Acceptance of terms

By registering for or using EdCo ("Service"), you ("School" or "Customer") engage in our Service and agree to be bound by these Terms of Service ("Terms"), including those additional terms, conditions, and policies referenced herein. These Terms apply to all users of the site, including without limitation users who are administrators, staff members, and contributors of content.

In consideration of your use of our website and services, you represent that you are of legal age to form a binding contract and are not a person barred from receiving products and services under the laws of Pakistan or other applicable jurisdiction. If you are registering on behalf of a school or organisation, you represent that you have the authority to bind that organisation to these Terms.

We may need to update these Terms from time to time. We will notify the primary admin contact of each school at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree to these Terms, do not use the Service.

3. Terms of usage

By using EdCo, you are prohibited from using this platform or its content:

• For any unlawful purpose or to solicit others to perform or participate in any unlawful acts;
• To violate any international, federal, provincial or state laws, regulations and rules;
• To infringe upon or violate our intellectual property rights or the intellectual property rights of others;
• To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;
• To submit false or misleading information;
• To upload or transmit viruses or any other type of malicious code that will or may affect the functionality or operation of the Service or circumvent its security features;
• To collect or track the personal information of others, or to spam, phish, pharm, pretext, spider, crawl, or scrape;
• For any obscene or immoral purpose;
• To send unsolicited communications or harass parents, guardians, or students through the platform's notification system;
• To attempt to reverse-engineer, copy, or circumvent any part of the platform.

We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

4. Account registration and security

• You must provide accurate and complete information during registration and keep it up to date.
• You are responsible for maintaining the confidentiality of your admin credentials and for all activities that occur under your account.
• You must not share admin credentials with unauthorised personnel.
• You must notify EdCo immediately via our contact form or by calling (03) 111-222-453 if you suspect unauthorised access to your account.
• EdCo recommends enabling two-factor authentication for all admin accounts.

5. Your responsibilities

By using EdCo, you further agree to:

• Use the Service only for lawful purposes and in accordance with these Terms.
• Ensure that all student and guardian data entered into the platform has been collected with appropriate consent in compliance with applicable Pakistani law.
• Ensure the accuracy of student records and fee data entered into the system.

6. Payment and billing

• Pricing is agreed upon at the time of onboarding and communicated in writing.
• EdCo reserves the right to change pricing with 30 days' written notice. Continued use of the Service after the effective date constitutes acceptance of the new pricing.
• Payment for EdCo's subscription fees is due as specified in your service agreement.
• Late payment may result in suspension of the Service after a written notice period.

7. Refunds and cancellation

Our refund and cancellation terms are set out in the Refund & Cancellation Policy, which forms part of these Terms.

8. Data ownership and privacy

• The School retains ownership of all data it enters into EdCo, including student records and financial data.
• EdCo acts as a data processor on behalf of the School for the purpose of delivering the Service.
• EdCo's collection and use of data is governed by the Privacy Policy, which forms part of these Terms.
• EdCo will not sell, licence, or share the School's data with third parties except as described in the Privacy Policy.

9. Intellectual property

The EdCo platform, including all software, designs, trademarks, and content, is the intellectual property of and is exclusively owned by EdCo Tech (SMC-Pvt) Ltd. The structure, organisation, and code of the website and its related software contain valuable trade secrets and confidential information of EdCo Tech (SMC-Pvt) Ltd. Except as expressly stated herein, these Terms do not grant you any intellectual property rights whatsoever in the platform and its related software, and all rights are reserved by EdCo Tech (SMC-Pvt) Ltd.

You receive a non-exclusive, non-transferable licence to use the Service during your subscription. You may not copy, modify, or distribute any part of the platform.

10. Indemnity and limitation of liability

You agree to indemnify, defend, and hold harmless EdCo Tech (SMC-Pvt) Ltd. and its officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms, your violation of any law, or the rights of a third party.

Neither we nor any third parties provide any warranty or guarantee as to the accuracy, timeliness, performance, completeness, or suitability of the information and materials found or offered on this platform for any particular purpose. You acknowledge that such information and materials may contain inaccuracies or errors and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

To the maximum extent permitted by applicable law, EdCo shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service. EdCo's total liability for any claim arising from these Terms shall not exceed the fees paid by you in the 3 months preceding the claim.

To the extent permitted by law, we also disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

EdCo is not liable for payment failures or delays caused by Bank Alfalah APG, RAAST, banking infrastructure, or any third-party payment processor.

11. Availability and maintenance

• EdCo aims to maintain 99.5% uptime but does not guarantee uninterrupted availability.
• Planned maintenance will be communicated in advance where possible.
• EdCo is not liable for downtime caused by third-party services (payment gateways, WhatsApp API, cloud infrastructure).

12. Termination

We may immediately change or terminate your access to our products, services, and this website, with or without notice, at any time, without liability to you, any other user, or any third party. We reserve the right to terminate your access if, without limitation, you have:

• Provided us with false or misleading registration information;
• Materially breached these Terms or failed to make payment after written notice;
• Interfered with other users or the administration of our services;
• Engaged in activity that endangers the security or integrity of the platform;
• Been subject to a request by law enforcement or other governmental authorities.

Either party may also terminate the Service with 30 days' written notice. Upon termination, your data will be available for export for 30 days before permanent deletion.

13. Severability and waiver

If any portion of these Terms is found to be unenforceable, the unenforceable portion will be deemed amended to the minimum extent necessary to make it enforceable, and if it cannot be made enforceable, then it will be severed and the remaining portion will remain in full force and effect. If we fail to enforce any of these Terms, it will not be considered a waiver. Any amendment to or waiver of these Terms must be made in writing and signed by us.

14. Governing law

These Terms are governed by the laws of the Islamic Republic of Pakistan. You agree that the courts of Rawalpindi (including any consumer court) will have exclusive jurisdiction in any dispute that you have with us.
